1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and XPRO d.o.o. ("Company", "we", "our", or "us"), a company registered in Slovenia with registered office at Stegne 21C, 1000 Ljubljana, Slovenia, concerning your access to and use of the Subtitle7 website and service (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Subtitle7 is a cloud-based software-as-a-service (SaaS) platform that provides:

• AI-powered subtitle and transcription generation from audio and video files
• Real-time subtitle generation for live streaming (OBS integration)
• Chroma-key ready subtitle output for streaming platforms
• Multi-language translation and transcription services
• Subtitle customization, editing, and export capabilities

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Be at least 16 years of age to create an account
• Be responsible for all activities that occur under your account

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Not share your password or account access with others
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities conducted through your account

4. License and Access Rights

4.1 License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

4.2 Restrictions

You agree not to:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble the Service
• Rent, lease, lend, sell, or sublicense access to the Service
• Use the Service to develop competing products or services
• Remove or modify any proprietary notices or labels
• Use automated systems (bots, scrapers) except as explicitly permitted

5. Acceptable Use Policy

5.1 Permitted Uses

You may use the Service to process audio and video content that you own or have the legal right to use, for the purpose of generating subtitles and transcriptions.

5.2 Prohibited Uses

You agree not to upload, transmit, or process content that:

• Violates any copyright, trademark, or other intellectual property rights
• Contains illegal, harmful, threatening, abusive, or defamatory material
• Promotes violence, discrimination, or hatred
• Contains malware, viruses, or other malicious code
• Violates any applicable laws or regulations
• Infringes on privacy rights or contains personal data of others without consent
• Is intended to spam, harass, or harm others

6. Content Ownership and Rights

6.1 Your Content

You retain all ownership rights to the audio, video, and subtitle content you upload or create using the Service ("Your Content"). You grant us a limited license to process Your Content solely to provide the Service.

6.2 Our Intellectual Property

The Service, including its software, algorithms, user interface, design, trademarks, and all related intellectual property, is owned by XPRO d.o.o. and protected by copyright, trademark, and other laws. All rights not expressly granted are reserved.

6.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, we may use such feedback without any obligation to you.

7. Subscription and Payment Terms

7.1 Subscription Plans

The Service is offered through various subscription plans with different features and usage limits. Current pricing and plan details are available on our website.

7.2 Billing and Payments

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method for all fees due
• You are responsible for providing valid payment information and maintaining it

7.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. We will charge your payment method for the renewal at the then-current rates.

7.4 Price Changes

We may change our prices with 30 days' advance notice. Price changes will apply to subsequent billing periods after notice is provided.

7.5 Overage Charges

If you exceed the usage limits of your plan (processing time, file size, etc.), additional fees may apply as specified in your plan details.

8. Service Level and Availability

8.1 Service Availability

We strive to maintain 99.5% uptime for the Service, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable during maintenance windows, which we will schedule with reasonable notice when possible.

8.2 AI Accuracy Disclaimer

Subtitle and transcription accuracy depends on audio quality, accents, technical terminology, and other factors. AI-generated content may contain errors and should be reviewed before use. We do not guarantee 100% accuracy.

8.3 Support

Customer support is provided via email during business hours. Response times vary by subscription tier.

9. Data Protection and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

We implement industry-standard security measures, including:

• Encryption of data in transit and at rest
• Regular security audits and updates
• Access controls and authentication
• Secure data deletion upon account termination

10. Termination

10.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds will be provided for the remaining subscription period.

10.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice, if you:

• Breach these Terms or our Acceptable Use Policy
• Fail to pay fees when due
• Engage in fraudulent or illegal activities
• Pose a security or legal risk to us or other users

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will delete Your Content within 30 days of termination, unless legally required to retain it. You may request a copy of Your Content before deletion.

11. Disclaimers and Warranties

11.1 As-Is Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 No Guarantee of Results

We do not warrant that:

• The Service will meet your specific requirements
• Subtitle generation will be error-free or completely accurate
• The Service will be uninterrupted, secure, or virus-free
• Any defects will be corrected

12. Limitation of Liability

12.1 Damages Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12.2 Excluded Damages

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or content
• Business interruption
• Reputational harm

12.3 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet service disruptions.

13. Indemnification

You agree to indemnify, defend, and hold harmless XPRO d.o.o., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your Content and any claims that it violates third-party rights
• Your violation of these Terms or any applicable laws
• Your negligence or willful misconduct

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Slovenia, without regard to its conflict of law provisions.

14.2 Jurisdiction

Any disputes arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Ljubljana, Slovenia.

14.3 Informal Resolution

Before filing any formal legal action, you agree to attempt to resolve the dispute informally by contacting us at legal@subtitle7.com.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

15.2 Amendments

We may modify these Terms at any time by posting revised Terms on our website. Material changes will be notified via email. Continued use of the Service after changes constitutes acceptance of the modified Terms.

15.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.4 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.5 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
